Comfy Systems Club - Terms & Conditions

Welcome to the Comfy Systems Club ("Club"). By enrolling in the Club, you agree to the following Terms & Conditions, which are designed to protect both you (the Member) and Kayla Droog (the Creator). Please read carefully. If you do not agree to these terms, you should not join the Club.

1. Overview & Acceptance of Terms

By purchasing or accessing the Club, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. These terms may be updated periodically. I will make reasonable efforts to notify active members of major changes.

2. Program Description

The Club includes, but is not limited to:

Core course materials and video lessons
Tech tutorial libraries
Workbooks and tools
Live Q&A calls and recordings
Custom GPT tools
Private community space
Bonus trainings

Access to these features is included for the duration of your 6-month membership. After 6 months, you will retain lifetime access to core course materials and related tools, but access to ongoing community, Q&A calls, GPT tools, bonus trainings, and new materials will require a monthly renewal fee.

3. Member Responsibilities

You are responsible for your own learning experience. This includes:

Actively participating in coaching calls, community discussions, and trainings as desired
Managing your schedule and expectations
Reaching out for help when needed

Results are not guaranteed. Your success depends on your effort, implementation, and unique business context.

4. Payment Terms

The Club is a paid program, offered either as a single payment or payment plan.
All payments are non-refundable.
Failed payments will result in suspension of access until payment is resolved. Kayla Droog Consulting reserves the right to charge a late fee of $10 per day until the overdue payment is made.
Changes to the Club schedule or delivery (such as rescheduled calls) do not alter your payment obligations.

5. Intellectual Property & Non-Competition

All Club content is the intellectual property of the Creator and may not be reproduced, shared, sold, or repurposed.

You may not ever:

Create or sell a program, course, membership, or service that replicates or is inspired by the Comfy Systems Club, either during or after your participation.
Use the Club content to create competing or derivative offers.

Legal action may be pursued if this clause is violated.

6. Media Release

You consent to being recorded or photographed during Club calls and events. These recordings may be shared inside the Club. You also grant permission for anonymous use of feedback, photos, or testimonials for marketing, unless you request otherwise in writing. I will not use your name or your business name in any public materials without your written consent.

7. Code of Conduct

You agree to:

Treat all Club members and the Creator with respect
Maintain confidentiality around member-shared content
Not engage in harassment, hate speech, or disruptive behavior

I reserve the right to remove any member from group aspects of the Club without refund if these terms are violated.

8. Schedule & Delivery Flexibility

Call times, community features, and content delivery may change with reasonable notice. I will always aim to communicate changes in advance.

Your payment obligations remain unchanged if adjustments are made to accommodate illness, emergencies, or other unavoidable disruptions.

9. Force Majeure & Emergencies

Either party may be excused from the remainder of this agreement in the event of extraordinary circumstances outside of their control that make it impossible or impractical to complete the services outlined in this agreement. These may include, but are not limited to: natural disasters, war, acts of terrorism, nuclear incidents, acts of God, or other hazardous or life-threatening emergencies.

If I am unable to deliver Club services due to a serious health issue or other unforeseen emergency, I will make a reasonable effort to:

Provide a qualified replacement to continue delivering services; or
Cancel your future payment obligations; or
Offer a fair partial refund or credit reflecting any portion of the services not delivered.

10. Non-Disparagement

You agree not to publicly or privately disparage the Club, the Creator, or other members, including but not limited to social media, review platforms, or direct messages to current or prospective clients.

If you have a concern or complaint, please address it privately and respectfully.

11. Liability Waiver & Indemnification

This program is for educational purposes only. I am not liable for any decisions or outcomes in your business.

You agree to indemnify and hold harmless the Creator against any and all claims, damages, or liabilities resulting from your participation in the Club.

12. Limitation of Liability

To the maximum extent permitted by law, you agree that I will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your participation in the Club or use of any associated materials or services.

My total liability for any claim arising out of or relating to this agreement shall not exceed the total amount paid by you for the Comfy Systems Club in the six (6) months preceding the event giving rise to the claim.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario. In the event of a dispute, we agree to attempt resolution through mediation before pursuing legal action.

14. Entire Agreement

This agreement, including all referenced policies and terms, constitutes the entire understanding between us with respect to your participation in the Comfy Systems Club, and supersedes all prior or contemporaneous communications, whether oral or written.

No other agreements, promises, representations, or understandings shall be binding unless in writing and signed by both parties.
